Digitize Eyes Poised for Expansion with Prospective Saudi Investments and Comprehensive Restructuring to Enter New Markets

Digitize for Investment and Technology (EGX: DGTZ.CA) is preparing for a new phase of expansion and restructuring, backed by ongoing discussions to attract Saudi and Egyptian investments aimed at strengthening the company’s telecommunications infrastructure business, increasing its capital and opening new markets, alongside upgrading its administrative and financial structures and enhancing corporate governance

In its Board of Directors’ resolutions dated November 3, 2026, the company announced that it had received two letters of intent on October 28 from Saudi-based Nabd Al Afaq Holding Limited and Egypt-based G Technology for Business Solutions. The letters express the companies’ interest in investing in Digitize, participating in its restructuring and turnaround plans, and potentially contributing to a capital increase in accordance with the applicable regulatory rules and procedures

The Board unanimously approved accepting both letters of intent in principle, authorizing the Chairman to continue discussions with the prospective investors and present the outcomes to the Board. The proposed investments are expected to open up new opportunities to support the company’s growth strategy and geographical and operational expansion

As part of its preparations for the next phase, the Board approved a new composition, chaired by Yousry Mahmoud Abdel Hamid Atlam (Egyptian), who will also assume the duties of Chief Executive Officer

The newly formed Board includes Ahmed Mahmoud Abdel Hamid Atlam (Egyptian), Fahad bin Abdullah bin Fallah Al Zaidan (Saudi), Dr. Samer Baha El-Din Anis Taha Ali El-Khouly (Egyptian), Faisal bin Saad bin Mohammed bin Shaya (Saudi), Ahmed Samir Ali Hamida (Egyptian), Dr. Manal Mohamed Amin Ibrahim (Egyptian), Eman Mahmoud Youssef Genedy (Egyptian), and Major General Rami Mohamed Mohieddin (Egyptian). The appointments will be submitted for ratification at the next Ordinary General Assembly

The Board also approved the establishment of four specialized committees covering Investment, Remuneration and Nominations, Corporate Governance, and Audit, as part of efforts to strengthen investment oversight, institutional management and corporate governance

The Investment Committee will be responsible for preparing the company’s 2027 investment plan and evaluating investment opportunities and funding sources. The Governance Committee will oversee compliance with disclosure requirements and conflict-of-interest regulations, while the Audit Committee will review financial statements and internal control systems

On the financial front, the company has outlined a plan to recover outstanding customer receivables amounting to EGP 140.962 million, according to its financial statements as of September 30, 2025

The Board instructed the financial management team to initiate the necessary legal procedures to collect outstanding receivables from domestic customers, explore compensation claims arising from delayed payments, and commence arbitration proceedings against a foreign supplier for failure to fulfill its supply obligations

These measures reflect Digitize’s strategy to embark on a new phase of operational and investment growth, combining capital attraction, corporate restructuring, financial recovery and stronger governance. The strategy is intended to enhance the company’s capabilities, support its expansion in the telecommunications and technology infrastructure sectors, and facilitate entry into new markets, while discussions on potential investments and the required regulatory approvals and procedures remain ongoing
